Terms of Service

These terms govern your use of Vermin: the website at vermin.dev, the API at api.vermin.dev, the MCP server, the SDKs and the dashboard (together, the “Service”). Vermin is operated by Reshapify, LLC(“we”, “us”). By creating an account or using the Service you agree to these terms. If you use the Service for an organization, you agree on its behalf and confirm you have authority to do so.

1. What Vermin does

Vermin fetches publicly available web pages that you ask for and returns them in formats such as markdown, HTML, metadata, screenshots and brand information. We act on your instructions: you choose which URLs and sites the Service retrieves.

2. Your account

  • You must be at least 18 and able to form a binding contract.
  • Give us accurate information and keep it current.
  • Keep your API keys secret. You are responsible for all activity under your account and keys. Tell us at legal@vermin.dev if you think a key has been compromised, and revoke it in the dashboard.
  • One free account per person. Creating accounts to collect extra free credits is not allowed.

3. Acceptable use

You are responsible for what you retrieve with Vermin and what you do with it. You agree not to use the Service to:

  • break any law or regulation, or infringe anyone's intellectual property, privacy or other rights;
  • access content behind a login, paywall or other access control you aren't authorized to bypass, or collect data in breach of a website's terms where those terms bind you;
  • collect personal data in breach of data protection laws (including GDPR and US state privacy laws), or build profiles of individuals without a lawful basis;
  • send traffic intended to overload, disrupt or attack any website, including ours;
  • reach private networks or internal services, probe for vulnerabilities, or get around our rate limits, safeguards or robots.txt handling except where the Service offers an option and you have permission to use it;
  • collect content to distribute malware, spam, or material that exploits or harms children;
  • resell or provide the Service to others as a standalone scraping service without our written agreement.

Vermin respects robots.txt by default and identifies itself as VerminBot. If you turn that behaviour off with an option such as ignoreRobots, you confirm that you have permission to fetch those pages. Website owners can contact legal@vermin.dev about our crawler.

4. Credits, plans and billing

  • Usage is measured in credits. What each request costs is published in the documentation and on the pricing page. Requests that fail to return usable content cost 0 credits.
  • Paid plans renew automatically each month or year until cancelled. Fees are charged in advance through our payment processor, Stripe. Overage, where your plan allows it, is billed in arrears and is limited by any spend cap you set.
  • Monthly credits reset at the start of each billing period unless your plan says they roll over. Signup bonus and purchased top-up credits do not expire while your account is open.
  • You can cancel at any time in the dashboard; your plan stays active until the end of the paid period. Fees are non-refundable except where the law requires otherwise or we agree in writing.
  • Prices are in US dollars and exclude taxes, which we may add where required.
  • We may change prices with at least 30 days' notice. Changes apply from your next billing period.

5. Your content and data

You keep whatever rights you have in the requests you send and the results you receive. You give us the limited rights we need to provide the Service: to fetch, process, cache and store that content as described in our Privacy Policy. We don't claim ownership of it and we don't use your results to train models.

We may collect anonymous, aggregated usage information (for example, success rates and latency) to run and improve the Service.

6. Our service

The Service, the Vermin name and logo, and our software are owned by us. Our SDKs are licensed under the licenses in their repositories. If you send us feedback, we can use it without obligation to you.

We may change, add or remove features. If we remove a feature you pay for, we'll give reasonable notice. We work to keep the Service available but don't guarantee uptime unless we've signed a separate agreement with you (for example, on the Scale plan).

7. Suspension and termination

You can close your account at any time. We may suspend or end your access, with notice where practical, if you break these terms, don't pay, create risk or legal exposure for us or others, or if required by law. If we end your access without cause, we'll refund any prepaid fees for the unused period.

8. Disclaimers

The Service is provided “as is” and “as available”. Websites change and block automated access; we don't promise that any page can be retrieved or that results will be complete, accurate or current. To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

9. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and US$100.

10. Indemnity

You will defend and indemnify us against third-party claims arising from content you retrieve, how you use it, or your breach of these terms, and pay resulting damages and reasonable costs.

11. Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. The state and federal courts located in Delaware have exclusive jurisdiction, and both parties consent to them. Nothing here limits rights you have under mandatory consumer protection law.

12. Changes

We may update these terms. For material changes we'll notify you by email or in the dashboard at least 14 days before they take effect. Continuing to use the Service after that means you accept the new terms.

13. Everything else

These terms, the Privacy Policy and any order form you sign with us are the whole agreement between us. If a provision is unenforceable, the rest still applies. You may not assign these terms without our consent; we may assign them in a merger, acquisition or sale of assets. Failure to enforce a provision isn't a waiver.
